Welcome to StudyPulse! These Terms of Service (“Terms” or “Agreement”) are a legally binding contract between you (“User,” “you,” or “your”) and StudyPulse Pty Ltd (“StudyPulse,” “we,” “us,” or “our”). By registering an account, accessing, or using the StudyPulse website, mobile application, or any other products or services we provide (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.

1. Acceptance of Terms

1.1. Binding Agreement. By creating an account or otherwise using the Service, you represent that you have the legal capacity to enter into a binding contract. If you are under 18 years old, you must only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

1.2. Modifications. We reserve the right, at our sole discretion, to modify or replace any part of these Terms at any time. We will notify you of any material changes (e.g., via email or a prominent notice within the Service). Your continued use of the Service after any such changes constitutes your acceptance of the updated Terms.

1.3. Additional Policies. Our Privacy Policy explains how we collect, use, and disclose your personal information. Our Privacy Policy is incorporated by reference into these Terms. By using the Service, you also agree to abide by any posted guidelines, FAQs, or other policies referenced in or linked from these Terms.

2. Eligibility

2.1. Age Requirements. The Service is primarily intended for VCE students (ages 16–18). If you are under 18, you represent that you have the consent of your parent or legal guardian to use the Service and that they have reviewed these Terms.

2.2. Australian Residents. StudyPulse is developed with a focus on the Victorian Certificate of Education (VCE) system in Australia. You understand and agree that you are solely responsible for ensuring your use of the Service complies with all local laws and regulations in your jurisdiction.

3. About the Service

3.1. Purpose. StudyPulse is designed to help VCE students practice exam-style questions, receive AI-powered marking and feedback, access exclusive content, and track progress over time through gamified features such as leaderboards and streaks.

3.2. AI Feedback Disclaimer. StudyPulse uses Artificial Intelligence (“AI”) to generate feedback and marks. While we strive to offer accurate, high-quality guidance, AI-generated feedback may not always be error-free or identical to official VCAA or instructor grading. StudyPulse makes no guarantees regarding the accuracy, completeness, or reliability of AI results. Users should always verify critical information and use their own judgment.

3.3. No Affiliation with VCAA. StudyPulse is not affiliated with or endorsed by the Victorian Curriculum and Assessment Authority (VCAA) or the Victorian Government. Any official VCAA exam content made available through the Service is subject to the terms and disclaimers of VCAA. We may label such content “VCAA Official” for clarity. You agree to abide by all third-party disclaimers and copyright notices.

4. VCAA Content and Attribution

4.1. VCAA Materials. VCE examination questions and extracts from the Assessor Reports and VCE Study Designs are reproduced by permission, © VCAA. VCE® is a registered trademark of the VCAA. The VCAA does not endorse or make any warranties regarding this study resource. Past VCE exams and related content can be accessed directly at www.vcaa.vic.edu.au.

4.2. Usage Rights. Our use of VCAA materials is authorized and licensed. However, this does not transfer any rights to you beyond what is necessary for your personal educational use of the Service.

5. Accounts

5.1. Account Creation. You may be required to create an account to use certain features of the Service. You must provide accurate and complete information during registration. You agree to keep this information updated.

5.2. Account Security. You are responsible for maintaining the confidentiality of your login credentials and for any activities that occur under your account. If you suspect unauthorized access or any security breach, you must promptly notify us.

5.3. Single-User Policy. Each account is for individual use only. You must not share your login credentials or account with others. We reserve the right to suspend or terminate accounts we believe are being shared or misused.

5.4. Account Termination. We may, at our discretion, suspend or terminate your account if you violate these Terms or engage in any prohibited conduct. If terminated, you may lose access to any content or data associated with your account.

6. Subscriptions & Pricing

6.1. Free Tier. StudyPulse offers a free tier (“Free Tier”) with limited daily practice questions, basic AI marking, and limited access to the question bank and analytics.

6.2. Premium Plans. For full functionality, you may choose to subscribe to a paid plan (“Premium”). Subscription options (e.g., monthly or annual) and pricing details are posted on our website. We reserve the right to modify subscription fees at any time, and will inform you in advance if we do.

6.3. Payment & Billing

Payment Methods. We use a third-party payment processor (e.g., Stripe) to handle financial transactions. By subscribing, you authorize our payment processor to charge your chosen payment method.
Automatic Renewal. For monthly or annually recurring plans, your subscription will automatically renew at the end of each billing cycle unless you cancel in your account settings at least 24 hours before the renewal date.
Refunds. All subscription fees are non-refundable unless otherwise required by law. If you cancel partway through a billing cycle, your subscription remains active until the end of the current billing period. No prorated refunds are offered.

6.4. School/Institution Plans. We offer licensing options for schools and educational institutions. School plans are subject to a separate service agreement and Data Processing Agreement (DPA) that defines data handling, retention, and deletion obligations. Where the terms of a school agreement conflict with these general Terms, the school agreement takes precedence for users covered by that agreement.

7. Intellectual Property

7.1. Our Content. Unless otherwise indicated, all content on the Service (including but not limited to text, images, videos, logos, designs, compilations, and software) is owned by or licensed to StudyPulse. It is protected by Australian and international intellectual property laws. You may not use, reproduce, distribute, modify, or create derivative works based on such content without express written permission from StudyPulse.

7.2. User-Generated Content. You may have the ability to submit, upload, or post questions, answers, solutions, or other materials (“User Content”) to the Service. By doing so, you grant StudyPulse a non-exclusive, worldwide, royalty-free license to use, copy, modify, distribute, and display your User Content for the purposes of operating and improving our Service. This license continues for as long as your account is active and for a reasonable period thereafter to allow for the orderly removal of content. You represent and warrant that you have all necessary rights to grant this license and that your User Content does not infringe any third-party rights.

7.2.1. School and Institutional Accounts. Where a user’s account is provisioned through a school or institutional agreement, the following additional terms apply:

The license granted in Section 7.2 is limited to operating and improving the Service. StudyPulse will not use student-submitted content for marketing, promotional, or advertising purposes.
The license is revocable upon account deletion or termination of the school agreement. Upon revocation, StudyPulse will delete or anonymise the content in accordance with the applicable Data Processing Agreement and our Privacy Policy.
Sublicensing is limited to service providers who process data on StudyPulse’s behalf (e.g., AI marking providers) and only for the purpose of delivering the Service.

7.3. VCAA & Third-Party Content. Some content within StudyPulse may be owned by third parties (e.g., VCAA exam questions). We display such content under license or in accordance with relevant legal allowances. You may not copy, distribute, or adapt any third-party materials unless explicitly permitted by the respective rights holder.

8. Prohibited Conduct

You agree not to:

Use the Service for any illegal, fraudulent, or unauthorized purpose.
Resell or exploit the Service for commercial purposes without our prior written consent.
Share your account credentials or otherwise circumvent our access controls.
Copy, scrape, or reproduce our question bank or other content in any manner not authorized by these Terms.
Submit any User Content that is unlawful, defamatory, harassing, abusive, libelous, obscene, or infringes the rights of others.
Use bots, scrapers, or other automated methods to access the Service without our permission.
Reverse engineer, decompile, or disassemble any aspect of the Service.
Interfere with or disrupt the Service’s functionality or servers (e.g., through hacking, distributing malware, or initiating a denial of service attack).

We reserve the right to investigate and take appropriate action, including terminating accounts and reporting such violations to law enforcement.

9. Disclaimer of Warranties

9.1. AS IS Basis. Your use of the Service is at your sole risk. The Service is provided “as is” and “as available,” without any express or implied warranties. To the maximum extent permitted by law, StudyPulse disclaims all warranties, whether express, implied, or statutory, regarding the Service, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2. Accuracy & Reliability. We do not guarantee the accuracy, completeness, or reliability of any information or content (including AI-generated feedback). You acknowledge that exam preparation, study outcomes, and academic performance depend on various factors outside StudyPulse’s control.

9.3. Third-Party & User Content. StudyPulse disclaims all liability for any third-party or User Content made available through the Service. You are solely responsible for evaluating and verifying the validity of any information, solutions, or materials you access from other users or external sources.

10. Limitation of Liability

10.1. Maximum Liability. To the fullest extent permitted by Australian law, in no event shall StudyPulse, its directors, employees, licensors, or partners be liable for any indirect, incidental, special, consequential, or punitive damages (including but not limited to lost profits, data, or goodwill) arising out of or in connection with your use of (or inability to use) the Service. If we are found liable, our total liability to you for all claims in the aggregate shall not exceed the amount you paid us, if any, in the 12 months preceding the event giving rise to the claim.

10.2. Australian Consumer Law. Nothing in these Terms excludes or limits any warranty or liability implied by Australian Consumer Law (ACL) that cannot be lawfully excluded or limited. Where such laws apply, our liability will be limited to the maximum extent permitted.

11. Indemnification

You agree to defend, indemnify, and hold harmless StudyPulse and its affiliates, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including reasonable legal fees) arising from:

Your use or misuse of the Service;
Your violation of these Terms or any applicable law;
Your User Content, including any actual or alleged infringement of a third party’s intellectual property or other rights.

12. Termination

12.1. Termination by You. You may stop using the Service or cancel your subscription at any time via your account settings. If you choose to delete your account, your personal data will be deleted or anonymised in accordance with our Privacy Policy, Section 12 (Account Deletion). Content you have contributed to shared community features (e.g., forum posts) may be retained in anonymised form.

12.2. Termination by Us. We reserve the right to suspend or terminate your account for violation of these Terms or prohibited conduct, with reasonable notice where practicable. Upon termination, all licenses and other rights granted to you in these Terms immediately cease.

12.2.1. School and Institutional Accounts. For accounts provisioned under a school or institutional agreement, the following apply:

StudyPulse will provide at least 30 days’ written notice before terminating service, except in cases of material breach.
Termination will only occur for cause (material breach of these Terms, non-payment, or illegal activity).
Upon termination, the school may request data export in accordance with the applicable Data Processing Agreement.

12.3. Effect of Termination. Sections that, by their nature, should survive termination (e.g., Intellectual Property, Disclaimers, Limitation of Liability, Indemnification) shall continue in full force and effect.

13. Dispute Resolution & Governing Law

13.1. Governing Law. These Terms and any dispute arising out of or related to these Terms or the Service are governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to conflict-of-law principles.

13.2. Good Faith Negotiations. If a dispute arises, you agree to first contact us at [email protected] and attempt to resolve the issue informally.

13.3. Jurisdiction. Any unresolved disputes may be brought in the courts of competent jurisdiction located in Victoria, Australia. You consent to the personal jurisdiction of such courts.

14. Privacy & Data

Your privacy is important to us. Please review our Privacy Policy for information on how we collect, store, and use personal information. By using the Service, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

15. Changes to the Service

StudyPulse may, from time to time, modify, suspend, or discontinue (temporarily or permanently) the Service or any part or feature thereof, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

16. Miscellaneous

16.1. Entire Agreement. These Terms and any policies referenced herein constitute the entire agreement between you and StudyPulse regarding the Service and supersede all prior agreements or understandings, whether written or oral, relating to the same subject matter.

16.2. Assignment. You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. We may freely assign or transfer our rights under these Terms in whole or in part, at any time.

16.3. Severability. If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

16.4. No Waiver. Our failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
